Contacts 2.0 - Full Ownership Acquisition Deposit

$1,000,000.00

One person. Every app. Own the vision for a more connected communication experience.

We have more ways to reach one another than ever before. Yet a single conversation can still require searching several apps, finding the right account, copying the same message, and checking separate inboxes for a response.

Our relationships connect across platforms. Our tools rarely do.

Contacts 2.0 envisions a phonebook that brings those connections together around the person you want to reach. One profile. Connected identities. Coordinated communication. Clearer visibility. More intentional control over your digital relationships.

The Full Ownership Acquisition offers the opportunity to acquire the specified Contacts 2.0 assets and direct their next chapter. Shape the product, develop its capabilities, choose its markets, and control its future commercialization.

The vision you acquire

1. One person. One unified profile.

Bring phone numbers, email addresses, and authorized platform identities into a single contact profile. Reduce duplicate entries, scattered usernames, and uncertainty about where to find someone.

2. Prepare once. Reach across channels.

Compose one message and select the channels you want to use. The proposed experience sends through authorized integrations where supported and prepares a reviewed handoff when another app requires the user to complete the action.

Spend less time recreating messages and more time communicating with purpose.

3. The right timing for each channel.

Choose a separate sending time or reminder for each platform. Coordinate follow ups around time zones, priorities, and the rhythm of the relationship, rather than managing disconnected reminders across apps.

4. A clearer picture of where your message landed.

Bring supported sent, delivered, read, and reply information into one view. Understand what each channel actually reports without repeatedly opening every conversation. Unknown or unavailable status remains clearly identified.

5. More intentional digital boundaries.

Review a person’s connected identities and coordinate supported actions to unlink, block, unfollow, or remove them. See which actions are complete and which require another step, with the option to retain the base contact.

Removal remains limited to the permissions and capabilities of each service. It does not promise universal erasure or deletion of another person’s copies.

From fragmented communication to a relationship hub

Contacts 2.0 addresses a familiar frustration: the person is the same, but the search, message, reminder, and relationship management tasks repeat across every platform.

Its vision is to make the contact record the starting point for communication. A place to find someone, choose how to reach them, coordinate your timing, understand available outcomes, and manage the connection as it evolves.

What full ownership includes

Complete ownership of the acquired assets

Receive the seller’s entire transferable ownership interest in the Contacts 2.0 assets identified in the signed acquisition agreement, including the specified original documentation, code, designs, business materials, and intellectual property.

Patent application rights

Receive assignment of the seller’s rights in the applicable pending patent application identified and verified during diligence, together with the included invention disclosures, claims materials, and prosecution records. Patent status, ownership, and responsibility for future prosecution will be documented in the acquisition agreement. A pending application does not guarantee an issued patent.

Demonstration application transfer

Receive the included demonstration application, source files, design assets, build instructions, and transferable deployment assets after the full purchase price has been received and cleared. Hosting, repositories, domains, and administrative access will be transferred or migrated as specified in the handover schedule.

Removal from the IP marketplace

At closing, the seller will withdraw the acquired ownership opportunity and associated seller controlled license listings from the IP marketplace, according to the signed acquisition agreement.

Control of future licensing and licensed versions

Receive the disclosed license register and the seller’s assignable rights and obligations under existing licenses. Direct future editions, license offerings, pricing, renewals, and distribution. Existing customer rights remain subject to their agreements and are not automatically canceled or rewritten.

Commercial autonomy

Determine the acquired product’s development priorities, positioning, included branding, business models, partnerships, and commercialization strategy. Exercise those rights subject to disclosed obligations, third party rights, and platform permissions.

Everything included in the licensed offering

The acquisition includes the plans and supporting materials available through Builder Access, with the additional ownership rights established in the acquisition agreement.

A detailed foundation for the next stage

  1. Product vision, customer pain points, and feature definitions.

  2. Included technical reference code, architecture, data models, and API specifications.

  3. Implementation roadmaps for mobile, messaging, and enterprise environments.

  4. Detailed implementation lessons covering preparation, execution, and verification.

  5. Platform capability boundaries, permissions, and integration alternatives.

  6. Privacy, security, acceptance testing, and release planning.

  7. Commercial models, illustrative budgets, and customer adoption planning.

  8. Operational procedures, knowledge transfer, and transition materials.

Acquisition price and payment schedule

The total acquisition price is $4,500,000 USD.

This listing covers an initial deposit of $1,000,000 USD, credited toward the total purchase price.

The remaining $3,500,000 USD is due within 60 calendar days after receipt of the initial deposit.

The initial deposit is a partial acquisition payment. It does not constitute payment of the full purchase price.

Demo transfer follows final payment

Transfer of the demonstration application and included demo assets will occur only after receipt and clearance of the final $3,500,000 payment, completing the full $4,500,000 purchase price.

Ownership assignment, marketplace withdrawal, license administration, and technical handover will follow the closing requirements in the signed acquisition agreement. Deposit refundability, cancellation, and consequences of a missed payment deadline will also be governed by that agreement.
